1. قبول الشروط1. Acceptance of Terms
باستخدامك لموقع أبعاد أو طلبك لأيٍّ من خدماتنا، فإنك تقرّ بأنك قرأت هذه الشروط وفهمتها ووافقت على الالتزام بها. وإذا كنت لا توافق على أيٍّ منها، فيُرجى عدم استخدام الموقع أو التعاقد على الخدمات.By using the ABAAD website or requesting any of our services, you acknowledge that you have read, understood and agreed to be bound by these terms. If you do not agree to any part of them, please do not use the site or engage our services.
2. طبيعة خدماتنا2. Nature of Our Services
تقدّم أبعاد خدمات استشارية متخصصة تشمل تحليل الأعمال، وتصميم مؤشرات الأداء (KPIs)، وتطوير العمليات، والاستشارات الإدارية. وجميع خدماتنا ذات طابع استشاري وتحليلي، وتُقدَّم بناءً على البيانات والمعلومات التي يوفّرها العميل وعلى أفضل الممارسات المهنية.ABAAD provides specialized advisory services including business analysis, KPI design, process development and management consulting. All our services are advisory and analytical in nature, delivered based on the data and information provided by the client and on professional best practice.
توصياتنا وتقاريرنا تمثّل رأياً مهنياً مبنياً على البيانات المتاحة، ولا تُشكّل ضماناً لتحقيق نتائج مالية أو تشغيلية محددة؛ إذ تعتمد النتائج الفعلية على تنفيذ العميل وعلى عوامل السوق الخارجة عن سيطرتنا.Our recommendations and reports represent a professional opinion based on the available data and do not constitute a guarantee of any specific financial or operational result; actual outcomes depend on the client's implementation and on market factors beyond our control.
3. التزامات العميل3. Client Obligations
لضمان جودة مخرجاتنا، يلتزم العميل بما يلي:To ensure the quality of our deliverables, the client undertakes to:
- تزويد أبعاد ببيانات ومعلومات دقيقة وكاملة ومحدّثة وفي الوقت المناسب.Provide ABAAD with accurate, complete and up-to-date information in a timely manner.
- تعيين جهة تواصل مخوّلة لاتخاذ القرارات وتسهيل الوصول إلى المعلومات اللازمة.Assign an authorized point of contact to make decisions and facilitate access to the required information.
- استخدام مخرجات المشروع لأغراض مشروعة وضمن النطاق المتفق عليه.Use project deliverables for lawful purposes and within the agreed scope.
- سداد الأتعاب وفق الشروط المالية المتفق عليها.Pay fees in accordance with the agreed financial terms.
أبعاد غير مسؤولة عن أي قصور في النتائج ناتج عن معلومات غير دقيقة أو غير مكتملة يقدّمها العميل.ABAAD is not responsible for any shortfall in results arising from inaccurate or incomplete information provided by the client.
4. الملكية الفكرية4. Intellectual Property
تؤول ملكية التقارير والمخرجات النهائية المُعدّة خصيصاً للعميل إليه بعد سداد كامل الأتعاب المستحقة.Ownership of the final reports and deliverables prepared specifically for the client transfers to the client upon full payment of all fees due.
وتظل المنهجيات والأدوات والنماذج وأطر العمل والمعرفة الفنية التي تطوّرها أبعاد وتستخدمها في تقديم خدماتها ملكاً حصرياً لأبعاد، ولا يجوز للعميل إعادة استخدامها أو توزيعها أو بيعها بمعزل عن المخرجات المتفق عليها.The methodologies, tools, models, frameworks and know-how developed and used by ABAAD in delivering its services remain the exclusive property of ABAAD and may not be reused, distributed or resold by the client independently of the agreed deliverables.
5. السرية واتفاقية عدم الإفشاء5. Confidentiality & NDA
تلتزم أبعاد بالحفاظ على سرية جميع بيانات العميل ومعلوماته التجارية، ولا تُفصح عنها لأي طرف ثالث دون موافقة كتابية مسبقة، إلا إذا تطلّب ذلك نظامٌ نافذ أو جهة قضائية مختصة. وتُطبَّق هذه السرية بشكل متبادل بين الطرفين، ويمكن توثيقها باتفاقية عدم إفشاء (NDA) عند الطلب.ABAAD is committed to maintaining the confidentiality of all client data and business information and will not disclose it to any third party without prior written consent, unless required by applicable law or a competent judicial authority. This confidentiality applies mutually between the parties and may be documented in a Non-Disclosure Agreement (NDA) upon request.
6. حدود المسؤولية6. Limitation of Liability
تُبذل خدمات أبعاد وفق أعلى معايير العناية المهنية. ومع ذلك، لا تتحمّل أبعاد المسؤولية عن أي أضرار غير مباشرة أو تبعية، أو خسائر في الأرباح أو الفرص التجارية، تنشأ عن استخدام مخرجاتنا أو الاعتماد عليها. وفي جميع الأحوال، لا تتجاوز مسؤولية أبعاد الإجمالية قيمة الأتعاب المدفوعة فعلياً مقابل الخدمة محل النزاع.ABAAD's services are performed with the highest standards of professional care. Nevertheless, ABAAD shall not be liable for any indirect or consequential damages, or loss of profit or business opportunity, arising from the use of or reliance on our deliverables. In all cases, ABAAD's total liability shall not exceed the fees actually paid for the service in dispute.
7. شروط الدفع7. Payment Terms
تُحدَّد أتعاب كل مشروع في عرض السعر أو العقد المتفق عليه. وما لم يُذكر خلاف ذلك، تُستحق الدفعات وفق الجدول الزمني المتفق عليه، ويُشترط سداد كامل الأتعاب قبل تسليم النسخة النهائية من المخرجات ونقل ملكيتها. وتخضع جميع الأتعاب لضريبة القيمة المضافة وفق الأنظمة المعمول بها في المملكة.The fees for each project are set out in the agreed proposal or contract. Unless otherwise stated, payments are due according to the agreed schedule, and full payment is required before delivery of the final version of the deliverables and the transfer of their ownership. All fees are subject to VAT in accordance with the regulations in force in the Kingdom.
8. القانون الحاكم والاختصاص القضائي8. Governing Law & Jurisdiction
تخضع هذه الشروط وتُفسَّر وفقاً لأنظمة المملكة العربية السعودية. وتكون المحاكم المختصة في مدينة الرياض هي صاحبة الاختصاص للنظر في أي نزاع ينشأ عن هذه الشروط أو الخدمات، بعد استنفاد محاولات التسوية الودية.These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. The competent courts of the city of Riyadh shall have jurisdiction over any dispute arising from these terms or the services, after amicable settlement efforts have been exhausted.
9. التعديلات على الشروط9. Amendments
تحتفظ أبعاد بحقها في تحديث هذه الشروط من وقت لآخر لمواكبة التطورات النظامية أو التشغيلية. ويُعدّ استمرارك في استخدام الموقع أو خدماتنا بعد نشر أي تعديل موافقةً منك على الشروط المُحدَّثة. ويُشار دائماً إلى تاريخ آخر تحديث أعلى هذه الصفحة.ABAAD reserves the right to update these terms from time to time to keep pace with regulatory or operational developments. Your continued use of the site or our services after any amendment is published constitutes your acceptance of the updated terms. The date of the latest update is always shown at the top of this page.
